Terms of Service

1. Description of Service

These Terms of Service apply to all users of the online media services, content distribution services, and community features provided through the WHOGA® website, video streaming services, and mobile, desktop, and TV applications (collectively, the “Services”). These Terms govern your use of the Services, including all functionalities, features, streaming services, audio, visual, written media, PDFs, website links, user interfaces, content, and software associated with the Services, as provided by WHOGA® (“Company”).

2. Acceptance and Changes to Terms

The Company reserves the right, at its sole discretion, to modify, add, or remove portions of these Terms of Service at any time. Changes are effective immediately upon posting. Your continued use of the Services after changes are posted constitutes acceptance of those changes.

3. Access and Use of Service

Users must be at least thirteen (13) years of age to access the Services. Users registering for the Services or uploading user-generated content must be at least eighteen (18) years of age. The Company makes no representation that the Services are appropriate or available in all locations. Users are responsible for compliance with all applicable laws in their jurisdiction.

4. Your Conduct

The Services may be used only for lawful purposes related to streaming and associated materials. Any misuse, including attempts to compromise system security, interfere with service, scrape data, distribute malicious content, or engage in prohibited activity, is strictly prohibited and may result in termination and legal action.

Community participation must remain respectful and safe. Bullying, harassment, hate speech, self-promotion, spam, or inappropriate content is not permitted. Violations may result in suspension or removal of your account.

5. User Information

You are responsible for all information you submit and represent that it is accurate and that you have the right to submit it. The Company may remove any content that violates these Terms or applicable laws.

6. Username, Password, and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify the Company immediately of any unauthorized use of your account.

7. Use of Services

The Services are provided for personal, non-commercial use only. The Company grants a limited, non-exclusive, non-transferable license to access and view content through its platforms.

8. Subscriptions and Purchases

Access to content may be provided via subscription, rental, purchase, or pay-per-view. Rights granted are personal and non-transferable. Streaming quality may vary based on device, bandwidth, internet connection, and other technical factors.

9. Payments and Billing

Payment plans and availability may change at the Company’s discretion. By subscribing or purchasing, you authorize charges to your selected payment method. Subscriptions continue until canceled according to the terms of the selected plan.

10. User Feedback

Feedback is welcome; however, do not submit confidential or proprietary ideas. Any feedback or submissions become the property of the Company without obligation of compensation.

11. Intellectual Property

All WHOGA® trademarks, content, software, and materials are owned by the Company or its licensors and are protected by intellectual property laws. Unauthorized use, reproduction, or distribution is prohibited.

12. Social Sharing

Users may share content through third-party social platforms at their own discretion and responsibility, subject to those platforms’ terms and conditions.

13. Software Use

Any software provided is licensed, not sold, and may only be used for accessing WHOGA® Services. Reverse engineering, redistribution, or unauthorized use is prohibited.

14. Copyright Infringement

To report copyright infringement, please contact the Company with all information required under the U.S. Copyright Act. False claims may result in legal consequences.

15. Warranty Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SERVICES.

17. Medical Disclaimer

WHOGA® provides gentle movement and wellness content intended for general educational and informational purposes only. WHOGA® is not a medical provider, and the Services do not constitute medical advice, diagnosis, treatment, physical therapy, or rehabilitation services.

Always consult with a physician or qualified healthcare provider before beginning any exercise or movement program, especially if you have a medical condition, injury, chronic illness, mobility limitation, or are recovering from surgery. Never disregard professional medical advice or delay seeking it because of content provided through the Services.

Participation in WHOGA® content is voluntary and undertaken at your own risk. You are responsible for listening to your body, modifying movements as needed, and stopping any activity that causes pain, discomfort, dizziness, or shortness of breath.

Caregivers assisting another individual acknowledge that they are responsible for supervising participation and determining suitability for the individual in their care.

WHOGA®, its instructors, employees, and affiliates are not responsible for any injury, loss, or damage resulting from participation in the Services. By using the Services, you assume full responsibility for your health, safety, and well-being.

18. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates from any claims, damages, liabilities, and expenses arising from your use of the Services or violation of these Terms.

19. Communications

By using the Services, you consent to receive electronic communications related to your account, transactions, updates, and marketing related to the Services.

20. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. You consent to exclusive jurisdiction and venue in the state and federal courts located in Florida.

21. Additional Terms and Conditions

Nothing in these Terms creates or shall be construed as creating any partnership, joint venture, employer-employee, or agency relationship between you and the Company.

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

The failure of the Company to enforce any right or provision shall not constitute a waiver of that right or provision unless expressly stated in writing.

You may not assign or transfer these Terms or any rights or obligations without prior written consent from the Company.

These Terms create rights and obligations only between the Company and individual users and do not create rights for third parties.
